1. Introduction & Agreement to Terms
Welcome to the 3 Inventors Portal — Business Management Platform ("the Platform"). These Terms & Conditions ("Terms") govern your access to and use of the Platform, including all features, services, content, and functionality offered through the Platform.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to update these Terms at any time, and your continued use of the Platform following any changes constitutes acceptance of those changes.
2. Definitions
- "Platform" refers to the 3 Inventors Portal — Business Management Platform, including all web-based tools, modules, and services provided.
- "User" refers to any individual or entity that accesses or uses the Platform.
- "Account" refers to the registered profile created by a User to access the Platform.
- "Business" refers to the organisation or entity registered on the Platform by the Account holder.
- "Services" refers to all features and functionality provided through the Platform, including quotation management, invoicing, revenue control, VAT submissions, purchase tracking, and related operational tools.
- "Content" refers to all data, text, documents, and materials uploaded, generated, or stored on the Platform by Users.
- "We", "Us", "Our" refers to 3 Inventors, the operator of the Platform.
3. Use of the Platform
The Platform is designed to provide business management tools for operational administration. You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Platform in any way that violates applicable local, national, or international law or regulation.
- Attempt to gain unauthorised access to any part of the Platform, other Users' accounts, or any systems or networks connected to the Platform.
- Use the Platform to transmit any material that is defamatory, offensive, or otherwise objectionable.
- Introduce any viruses, trojans, worms, or other malicious software to the Platform.
- Use automated systems or software to extract data from the Platform without prior written consent.
- Interfere with or disrupt the integrity or performance of the Platform or its related systems.
4. User Accounts & Registration
Access to the Platform requires registration and account creation. Registration is by invitation only and subject to approval by a super administrator. By registering an account, you agree to:
- Provide accurate, current, and complete information during the registration process.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the security and confidentiality of your login credentials.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorised use of your account or any other breach of security.
We reserve the right to suspend or terminate any account that violates these Terms or is inactive for an extended period. Module access within the Platform is granted by the business administrator and may be configured as full access or read-only on a per-module basis.
5. Intellectual Property
The Platform, including its original content, features, functionality, design, and underlying technology, is owned by 3 Inventors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of all Content you upload or create on the Platform. By using the Platform, you grant us a limited licence to store, process, and display your Content solely for the purpose of providing the Services to you.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Platform without our prior written consent.
6. Payment Terms
Access to the Platform requires an active subscription. Payment terms are as follows:
- Subscription fees are billed annually in advance.
- All fees are quoted in Euros (€) unless otherwise stated.
- Payment is processed securely through our third-party payment provider.
- Failure to pay subscription fees may result in suspension or termination of access to the Platform.
- Refunds are handled in accordance with our refund policy. Partial-year refunds are not provided for annual subscriptions unless required by applicable law.
- We reserve the right to change subscription fees with reasonable notice. Any fee changes will take effect at the start of your next billing cycle.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
- We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- Our total liability for any claims arising from or related to these Terms or the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
- We are not responsible for any loss of data, revenue, or business opportunities resulting from your use of the Platform.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by applicable law.
8. Termination
Either party may terminate the agreement under the following conditions:
- You may terminate your account at any time by contacting us or using the account management features within the Platform.
- We may suspend or terminate your access immediately if you breach these Terms.
- We may terminate your account with reasonable notice if we discontinue the Platform or any part of the Services.
- Upon termination, your right to access the Platform ceases immediately.
- We will make your data available for export for a reasonable period following termination, after which it may be permanently deleted.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
